Terms of Service

1. Agreement to Terms

By accessing or using Tradsup (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. Tradsup reserves the right to update these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Tradsup. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and truthful information in your profile and listings.
• Notify us immediately of any unauthorized access to your account.
• Not share, sell, or transfer your account to another person.
• Not create multiple accounts to circumvent restrictions.

4. How Tradsup Works

Tradsup is a peer-to-peer swapping platform. Users list items they wish to swap and propose swaps with other users. Tradsup facilitates communication between members but does not participate in, guarantee, or insure any swap. All swaps are between users directly.

4.1 Tradsup Coins

Tradsup Coins are an in-app currency used to propose and accept swaps. Proposing a swap costs coins (locked until the swap is resolved). Accepting a swap also costs coins. Coins are unlocked and returned if a proposal is declined or expires. Coins have no cash value and are non-refundable once purchased, except as required by applicable law or app store refund policies.

4.2 Item Listings

You may only list items that you legally own and have the right to swap. Listings must include accurate descriptions, genuine photographs, and honest condition assessments. Prohibited items include but are not limited to: illegal goods, counterfeit items, hazardous materials, weapons, drugs, stolen property, and items that violate third-party intellectual property rights.

4.3 Completing Swaps

Once both parties accept a swap, they are expected to fulfill the exchange in good faith. Both parties must confirm completion and leave a review. Failure to complete accepted swaps may result in account restrictions.

5. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose.
• Post false, misleading, or fraudulent listings.
• Harass, threaten, or abuse other users.
• Manipulate ratings or reviews.
• Circumvent Platform features, restrictions, or security measures.
• Use bots, scrapers, or automated tools to access the Platform.
• Attempt to buy or sell items for cash outside the swapping system.

6. Content and Intellectual Property

You retain ownership of content you post on Tradsup (photos, descriptions, reviews). By posting content, you grant Tradsup a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Platform. You may not post content that infringes on the intellectual property rights of others.

7. Limitation of Liability

Tradsup is provided “as is” without warranties of any kind, express or implied. Tradsup is not responsible for:

• The quality, safety, legality, or authenticity of swapped items.
• The ability of users to complete swaps.
• Any disputes between users.
• Any loss or damage arising from your use of the Platform.

To the maximum extent permitted by law, Tradsup's total liability shall not exceed the amount you have paid to Tradsup in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Tradsup, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

9. Dispute Resolution

If a dispute arises between users, we encourage you to resolve it directly through the Platform's messaging system. Tradsup may, at its discretion, mediate disputes but is not obligated to do so. Tradsup reserves the right to suspend or terminate accounts involved in disputes that violate these Terms.

10. Account Termination

Tradsup may suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any conduct that we believe is harmful to the community. You may also delete your account at any time through your account settings. Upon termination, any remaining Tradsup Coins in your account will be forfeited.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tradsup operates, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of that jurisdiction, and the parties hereby consent to personal jurisdiction and venue therein.

12. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes through the Platform or via email. Your continued use of Tradsup after changes are posted constitutes acceptance of the updated Terms.
